This Supplier Terms of Service ("Agreement") is a legal contract between Bill Street LLC (a company registered in Mongolia, operating the UnlockYourTravel.com platform, hereinafter referred to as "UnlockYourTravel," "we," or "our") and the tourism service provider ("Supplier," "you," or "your").
By clicking the "I Agree" button, creating an account, or listing your services on the Platform, you confirm that you have read, understood, and agree to fully comply with these terms of service.
1. Definitions
- "Booking" — A reservation made by a Customer through the Platform.
- "Fee" — The commission payable to UnlockYourTravel from the total Booking Amount.
- "Content" — Text, images, graphics, logos, videos, and other materials you include in your service listing.
- "Customer" — An end-user booking services through the Platform.
- "Platform" — The UnlockYourTravel.com website, mobile applications, and related services.
- "Service" — Tourism products you offer through the Platform (e.g., hotels, tours, transportation).
- "Total Booking Amount" — The full price paid by the Customer, including taxes and other applicable fees.
2. UnlockYourTravel Platform
2.1. UnlockYourTravel is an online platform in Mongolia connecting foreign guests and visitors with tourism service providers offering hotels, airport transportation, and tours. This Agreement governs only the relationship between the Supplier and the Customer.
2.2. We are not a travel agency, tour operator, or insurance provider. UnlockYourTravel is not responsible for the quality, safety, or legality of the Supplier's services.
3. Supplier Registration and Obligations
- 3.1. Accuracy of Registration: You must provide complete, accurate, and up-to-date information when creating an account and maintain it regularly.
- 3.2. Service Listings: You are solely responsible for the accuracy, completeness, legality, and timeliness of your listing content, including descriptions, prices, terms, images, and refund policies.
- 3.3. Legal Compliance: You must have all required permits, licenses, and insurance to lawfully provide your services and comply with all applicable laws, regulations, and standards.
- 3.4. Service Provision: You must fulfill all confirmed bookings professionally, safely, and in accordance with the Platform description.
4. Featured Listing / "Boost" Program
Suppliers may opt for the "Featured Listing (Boost)" service to increase visibility and bookings. By activating Boost, you agree to the following:
- Boost is valid for 7 (seven) days from activation and cannot be canceled early.
- An additional commission of 5%-15% on top of the base fee will automatically apply and may vary during Boost.
- Boost is an algorithmic service designed to improve impressions, visibility, and search ranking and does not guarantee bookings or results.
- Suppliers must fulfill at least 70% of bookings and maintain quality standards, accurate information, reasonable cancellation rates, and user ratings.
- The Platform may suspend or cancel Boost without notice if quality standards are not met, false information is provided, or Platform policies are violated.
- Boost highlights your listing on the homepage, adds a "Featured" badge, and improves visibility in search results. Placement may fluctuate depending on algorithm changes.
5. Finance, Fees, and Payments
- 5.1. Pricing: You set your own service prices. Prices on the Platform must match those on your website and other channels.
- 5.2. Fee: You will pay UnlockYourTravel a commission for each confirmed booking. The fee percentage is listed on your dashboard or separately agreed in the "Fee Schedule."
- 5.3. Payment Terms: UnlockYourTravel collects all payments from Customers and transfers your share (Total Booking Amount minus fees, refunds, or cancellations) within the first 7 working days of the month after service completion.
- 5.4. Taxes: You are responsible for registering, reporting, and paying all applicable taxes (VAT, sales tax, etc.) on your service revenue. UnlockYourTravel is responsible for tax reporting only on the commission.
6. Bookings, Cancellations, and Refunds
6.1. Booking Confirmation
A confirmation notice appears on the Platform when a Customer books. The service contract is valid only between you and the Customer.
6.2. Supplier Cancellations
Repeated cancellations for reasons other than force majeure may result in:
- Lowered listing placement on the website
- Temporary or permanent suspension of your service listings
Cancellation procedure for non-force majeure:
- Notice: Cancel the booking via your supplier dashboard and provide a reason.
- Alternative Offer: If possible, offer a similar service at your cost to mitigate Customer loss.
- Refund: UnlockYourTravel will refund 100% of the booking if canceled by the supplier.
6.3. Customer Refunds and Disputes
- Before service starts: Refunds follow your stated policy.
- After service starts: UnlockYourTravel is not responsible; disputes must be resolved directly with the Customer.
- No service or no-show: Both parties may provide evidence; UnlockYourTravel will make a fair determination.
6.4. Overbooking
If unable to fulfill a booking due to overbooking or force majeure, cancel via your dashboard with reasons. Full refund only; no additional compensation is required.
7. Intellectual Property and License
- 7.1. The Platform's website, domain, software, logos, brand names, graphic designs, and other intellectual property remain the property of UnlockYourTravel.
- 7.2. Suppliers may use this IP solely to list their services and receive bookings.
- 7.3. Copying, modifying, or transferring IP to third parties is prohibited.
8. Personal Data and Confidentiality
8.1. Both parties must keep confidential, for the term of this Agreement and 3 years after, the following:
- Customer personal and payment data
- Supplier pricing and policies
- Business strategies, software, and internal information
8.2. Confidential information may only be disclosed to government authorities as required by law.
8.3. Breach of confidentiality requires full compensation for resulting damages.
9. Liability and Indemnification
9.1. Limitation of Liability: UnlockYourTravel is liable only to the extent permitted by law and up to payments made in the last 3 months. UnlockYourTravel is not responsible for indirect, incidental, or unforeseen damages.
9.2. Supplier Indemnification: You will protect UnlockYourTravel from claims, damages, or losses arising from:
- Breach of this Agreement
- Service-related issues
- Harm to persons or property
- Legal violations or third-party rights infringement
10. Term and Termination
- 10.1. The Agreement starts when your account is confirmed and remains effective until terminated.
- 10.2. Suppliers may terminate without reason.
- 10.3. UnlockYourTravel may immediately terminate if:
- A serious breach occurs
- Risk to Platform reputation exists
- Supplier cannot provide services
- 10.4. Upon termination, remaining payments will be processed according to the service terms, and listings removed from the Platform.
11. Confidentiality
Business, financial, or technical information obtained from UnlockYourTravel will not be shared with third parties and is only used to fulfill this Agreement.
12. Governing Law and Dispute Resolution
- 12.1. Parties will first attempt negotiation and settlement.
- 12.2. If unresolved, disputes will be submitted to the courts of Mongolia.
13. Miscellaneous
- 13.1. Force Majeure: Neither party is liable for events beyond their control (natural disasters, war, government actions, pandemics, etc.).
- 13.2. Changes: UnlockYourTravel may update these terms and will notify you via email or the Platform. Continued use constitutes acceptance.
